Bright Business – Confidentiality Pledge, Code of Ethics & Non‑Disclosure Agreement

Introduction
Bright Business is built on trust, mutual respect, and the shared commitment to help one another grow. The value of our community depends on every member’s willingness to speak openly, share challenges, and offer honest counsel—knowing that what is shared in confidence will remain confidential.
By joining Bright Business, you agree to uphold the standards set forth in this Confidentiality Pledge, Code of Ethics, and Non‑Disclosure Agreement (the “Pledge“). This Pledge applies to all members of the Bright Business community, including:
- Members (business owners, executives, and professionals)
- Facilitators and Chairs (group leaders and coaches)
- Guest Speakers and Experts
- Bright Business Staff and Contractors
This Pledge is incorporated into and governed by the Bright Business Terms of Use and Privacy Policy, which you have agreed to as a condition of membership.
1. The Confidentiality Pledge
I pledge to:

Hold all confidential information in strict confidence.
I will not disclose, discuss, or reveal any confidential issues, information, or materials shared by other members—whether in group meetings, one‑on‑one conversations, online forums, private messages, or any other Bright Business platform or event—without the express prior permission of all parties involved. -
Respect the privacy and trust of my peers.
I understand that members share sensitive business, financial, strategic, and personal information in order to receive candid advice and support. I will honor that trust and treat all such information as strictly confidential. -
Exercise discretion in all communications.
When contacting another member about a confidential matter, I will use the utmost care and discretion, especially when:- Communicating with a member’s employees, assistants, or colleagues;
- Sending emails, texts, or faxes that may be seen by others;
- Leaving voicemail messages that may be accessed by others.

Protect my login credentials.
I will safeguard my username, password, and access to all Bright Business platforms. I will not share my login credentials with anyone. If I believe my account has been compromised, I will notify Bright Business immediately at support@brsiness.com.
2. Code of Ethics and Professional Conduct
As a member of Bright Business, I agree to conduct myself with integrity, professionalism, and respect for others. I commit to the following standards:
a. No Solicitation
I will not use the Bright Business membership directory, member contact information, email lists, forums, or any other community resource to solicit business, promote products or services, or compile marketing or contact lists—unless I have the express prior written consent of Bright Business and the individuals involved.
b. No Unfair Competition
I will not use any confidential, non‑public, or proprietary information shared within the Bright Business community to:
- Compete with another member’s business;
- Solicit or recruit another member’s customers, clients, employees, or contractors;
- Undermine, harm, or cause economic loss to another member; or
- Gain an unfair competitive advantage.
c. No Poaching or Recruiting
I will not recruit, hire, or attempt to hire employees, contractors, or key personnel of another Bright Business member without first obtaining that member’s explicit written consent.
d. Truthful Representation
I will accurately represent my professional qualifications, credentials, licenses, experience, and capabilities. I will promptly notify Bright Business if any of my professional licenses, certifications, or credentials are suspended, revoked, or lapsed.
e. Respectful and Lawful Conduct
I will treat all members, facilitators, speakers, and staff with respect and professionalism. I will not engage in conduct that is:
- Harassing, abusive, threatening, discriminatory, or offensive;
- Defamatory, deceptive, or fraudulent;
- Illegal or in violation of applicable laws or regulations; or
- Disruptive to the community or harmful to Bright Business’s reputation.
f. Compliance with Terms of Use and Privacy Policy
I will abide by the Bright Business Terms of Use and Privacy Policy at all times.
3. Non‑Disclosure Agreement (NDA)
This section constitutes a binding Non‑Disclosure Agreement between you and Bright Business, and between you and other members of the Bright Business community.
a. Definition of Confidential Information
“Confidential Information” means any and all information, whether written, oral, electronic, or visual, that is disclosed or made available within the Bright Business community, including but not limited to:
- Business strategies, plans, financial information, and performance data;
- Customer lists, supplier relationships, and trade secrets;
- Personal matters, challenges, and sensitive issues shared in meetings or forums;
- Proprietary methods, processes, and know‑how;
- Any information that a reasonable person would understand to be confidential or proprietary.
Confidential Information does not include information that:
- Is or becomes publicly available through no breach of this Pledge;
- Was already known to you prior to disclosure, without any obligation of confidentiality;
- Is independently developed by you without use of or reference to Confidential Information; or
- Is required to be disclosed by law, regulation, court order, or other legal process (provided you give reasonable advance notice to the affected party, where possible).
b. Obligations
You agree to:
- Not disclose Confidential Information to any third party without the prior written consent of the disclosing party;
- Not use Confidential Information for any purpose other than participating in and benefiting from the Bright Business community;
- Protect Confidential Information with the same degree of care you use to protect your own confidential information, but in no event less than reasonable care; and
- Return or destroy any Confidential Information in tangible form upon request or upon termination of your membership.
c. Duration
Your obligations under this NDA continue for the duration of your Bright Business membership and for three (3) years after your membership ends, or for as long as the information remains confidential, whichever is longer.
4. Important Legal Limitations and Disclaimers
While all members agree to hold information shared within Bright Business in strict confidence, you should be aware of the following important limitations:
a. Not Legally Privileged
Communications within Bright Business are not protected by attorney‑client privilege, doctor‑patient privilege, or any other legal privilege. This means:
- You or other members could be compelled to testify in court or other legal proceedings about matters discussed in Bright Business meetings, forums, or communications.
- Bright Business may be required to disclose information or materials pursuant to applicable laws, regulations, subpoenas, court orders, or other legal processes.
b. Exercise Caution
You should exercise caution and good judgment when discussing:
- Matters you would not want disclosed in any legal proceeding;
- Material, non‑public information (especially if you are associated with a publicly traded company—consult your legal counsel regarding securities laws);
- Highly sensitive personal, financial, or strategic matters.
c. No Guarantee of Absolute Security
Despite our best efforts and the commitments of all members, no community or online platform can guarantee 100% confidentiality or security 100% of the time. Use caution with all communications, both online and offline.
d. Bright Business Is Not Responsible for Member Conduct
Bright Business cannot control, monitor, or be responsible for the conduct of individual members, facilitators, or speakers. You acknowledge and agree that:
- Any disputes, claims, or damages arising out of violations of this Pledge are matters between you and the other party or parties involved;
- Bright Business, its owners, officers, employees, and contractors are not liable for any breach of confidentiality or violation of this Pledge by any member or third party; and
- The disclaimers, limitations of liability, and indemnification provisions in the Terms of Use apply fully to this Pledge.
5. Consequences of Violation
Bright Business takes violations of this Pledge seriously. If you violate this Pledge, Bright Business may, in its sole discretion:
- Issue a warning;
- Suspend or terminate your membership immediately, without refund;
- Remove you from group meetings, forums, or events;
- Disclose your identity and conduct to affected parties;
- Take appropriate legal action, including seeking injunctive relief and damages; and
- Cooperate with law enforcement or other authorities as required or appropriate.
You remain personally liable for any harm, damages, or losses caused by your breach of this Pledge, and you agree to indemnify and hold harmless Bright Business and other members as set forth in the Terms of Use.
6. Acknowledgment and Agreement
By joining Bright Business and accessing any Bright Business services, platforms, or events, you acknowledge that you have read, understood, and agree to be bound by this Confidentiality Pledge, Code of Ethics, and Non‑Disclosure Agreement.
You further acknowledge that:
- This Pledge is a binding agreement between you, Bright Business, and other members of the community;
- Violations of this Pledge may result in immediate termination of your membership and legal action;
- The limitations and disclaimers set forth above apply; and
- This Pledge is incorporated into and governed by the Bright Business Terms of Use and Privacy Policy.
